Precisely, all of these reasons make the fusion impossible, according to Goku's explanation of how it works.
Goku never said that they should have similar skin color, hair, and clothes. And even their height isn't much different, and they should be able to merge if Goku & Vegeta could do the same. Goku said that they should have similar size & power, and there isn't any problem in their size.
However, normal Oob is already far stronger than Gohan, since he is around SS3 Goku's level, maybe even stronger, while Gohan's most powerful state is Enraged Super Saiyan 2, which is below SS2 Goku. And if Gohan could use his Ultimate state (it's unknown if he still can in GT), he would be far stronger than normal Oob, but then Super Oob would be far stronger than Ultimate Gohan. And even if Gohan had achieved Super Saiyan 4, he would become far stronger than Super Oob. So, Gohan & Oob are too far in their various forms/states to be able to use Fusion.
